1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AgentScribe ("AgentScribe," "we," "us," or "our"), governing your access to and use of our website at agentscribe.net and all content marketing services we provide (collectively, the "Services").

By accessing our website, subscribing to any plan, or purchasing any Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using our website and Services.

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or any business entity you represent in order to use our Services.

2. Description of Services

AgentScribe provides an AI-powered content generation platform for real estate agents. The platform produces digital content including but not limited to: SEO-optimized blog posts and neighborhood guides; social media captions; Google Business Profile posts; monthly email newsletters; listing descriptions; quarterly relocation pillar guides; and basic on-page SEO (Dominant plan only).

The specific deliverables included in your subscription are determined by the plan you select at purchase, as described on our Services page. AgentScribe reserves the right to modify, update, or discontinue any Service feature with reasonable advance notice.

3. Subscription, Billing, and Payment

3.1 Subscription Plans

Our Services are offered on a month-to-month subscription basis. There are no long-term contracts, and you are not committed beyond the current billing cycle unless you choose to continue.

3.2 Billing

Subscription fees are billed in advance on a monthly recurring basis. Your billing cycle begins on the date you first subscribe and renews on the same calendar date each month. By providing payment information, you authorize AgentScribe to charge your payment method for all fees incurred.

3.3 Price Changes

AgentScribe reserves the right to modify subscription pricing at any time. We will provide at least 30 days' advance written notice via email before any price change takes effect for existing subscribers. Continued use after the effective date constitutes acceptance of the new pricing.

3.4 Failed Payments

If a payment fails, we will attempt to re-process it up to three times over seven days. If payment remains unsuccessful, your subscription will be suspended until payment is received. AgentScribe is not liable for any losses resulting from a suspended subscription due to payment failure.

3.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for all applicable sales taxes, VAT, GST, or other governmental charges imposed on your purchase.

4. Cancellation and Refund Policy

4.1 Cancellation

You may cancel your subscription at any time by contacting us at hello@agentscribe.net before your next billing date. Cancellations received after your billing date will take effect at the end of the current billing cycle. You retain access to Services through the end of your paid period.

4.2 Refunds

All subscription fees are non-refundable except where required by applicable law. Because content production begins immediately upon subscription, we do not offer refunds for partial billing periods or content already produced and delivered. If you believe you have been charged in error, contact us within 14 days of the charge.

4.3 Effect of Cancellation

Upon cancellation, AgentScribe will cease producing new content at the end of your paid billing period. All content already delivered to you remains yours to use in accordance with Section 5 below.

5. Content Ownership and Intellectual Property

5.1 Delivered Content

Upon receipt of full payment for each billing cycle, AgentScribe assigns to you all right, title, and interest, including all applicable intellectual property rights, in and to the content deliverables created specifically for you during that billing period ("Delivered Content"). You may publish, distribute, modify, and use Delivered Content without restriction.

5.2 AgentScribe's Background Materials

AgentScribe retains all rights to its proprietary processes, templates, research frameworks, tools, methodology, and know-how. Nothing in these Terms grants you any rights to AgentScribe's underlying systems or technology.

5.3 Your Materials

You retain all rights to any materials, information, or brand assets you provide to AgentScribe. By providing such materials, you grant AgentScribe a limited, non-exclusive license to use them solely for the purpose of fulfilling your Services.

5.4 Portfolio Use

AgentScribe may reference your business name, general market, and content results in our marketing materials or case studies, unless you notify us in writing that you prefer to remain anonymous.

6. Use of Artificial Intelligence

AgentScribe uses artificial intelligence tools to assist in content research, drafting, and structuring. All AI-assisted content is reviewed, edited, fact-checked, and refined by human writers before delivery. You acknowledge and accept that our Services incorporate AI-assisted processes as part of our production methodology.

You are solely responsible for reviewing all Delivered Content before publishing it. AgentScribe makes no warranty that AI-assisted content is free from errors or inaccuracies, and you assume all risk associated with publishing Delivered Content without independent review.

7. No Guarantee of Results

AgentScribe provides content marketing services designed to improve your organic search visibility over time. However, we make no guarantee regarding: rankings on Google or any search engine; volume of website traffic, leads, or conversions; specific timeframes for achieving organic traction; or real estate transactions or revenue attributable to our content.

Organic search performance depends on many factors outside AgentScribe's control, including algorithm changes, domain authority, local competition, and market conditions. Any timelines referenced on our website (e.g., "6–12 months to organic traction") are general estimates based on industry experience, not guarantees.

8. Client Responsibilities

You agree to: participate in the required onboarding call and provide accurate market information; respond to content approval requests within 5 business days; provide accurate and non-infringing materials; review all Delivered Content for accuracy and legal compliance before publishing; ensure your use of Delivered Content complies with all applicable real estate advertising laws, MLS rules, and brokerage policies in your jurisdiction; and provide and maintain the security of any access credentials required for publishing.

AgentScribe is not responsible for delays caused by your failure to provide required information, approvals, or access in a timely manner.

9. Acceptable Use

You agree not to use our website or Services to: engage in any unlawful or deceptive activity; violate real estate advertising standards, fair housing laws, or MLS rules; infringe upon any third party's intellectual property rights; transmit malware or spam; attempt to gain unauthorized access to our systems; resell or sublicense our Services without written consent; or publish Delivered Content with false or misleading claims.

AgentScribe reserves the right to suspend or terminate your account immediately, without refund, for breach of this Section.

10. Email and Marketing Communications

By subscribing to our newsletter or free resources, you consent to receive periodic email communications from AgentScribe. You may unsubscribe at any time by clicking the "Unsubscribe" link in any email or by contacting hello@agentscribe.net. Transactional emails related to your subscription and billing are not subject to marketing opt-outs.

11. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and describes how we collect, use, share, and transfer personal information.

12. Third-Party Services and Links

Our website and Services may reference or integrate with third-party platforms (including Google Business Profile, social media platforms, and scheduling tools). AgentScribe is not responsible for the content, practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms.

13. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, was already known by the receiving party, is independently developed, or is required to be disclosed by law.

14. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. AgentScribe does not warrant that the services will be uninterrupted, error-free, or free of harmful components.

15. Limitation of Liability

To the fullest extent permitted by applicable law, AgentScribe, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of your use of or inability to use the services.

In any case, AgentScribe's total cumulative liability for any and all claims shall not exceed the total amount paid by you to AgentScribe in the three (3) months immediately preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless AgentScribe and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of: your use of the Services; your violation of these Terms; your violation of any applicable law or third-party right; or content you publish without adequate review or legal compliance verification.

17. Term and Termination

These Terms remain in effect for as long as you maintain an active subscription or otherwise use our Services. AgentScribe may suspend or terminate your access immediately, without prior notice, for material breach of these Terms, non-payment, or conduct harmful to other clients, third parties, or AgentScribe's reputation.

Sections 5, 6, 7, 14, 15, 16, 18, and 19 survive termination of these Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United States and the state in which AgentScribe is primarily operated, without regard to conflict of law principles.

Any dispute shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the parties agree to submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. Each party shall bear its own costs unless the arbitrator determines otherwise.

Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. You agree to bring any claim individually and not as part of a class action.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentScribe and supersede all prior agreements and understandings.

19.2 Amendments

AgentScribe may update these Terms at any time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

19.3 Severability

If any provision of these Terms is found unenforceable, that provision shall be limited to the minimum extent necessary so that the remaining Terms remain in full force and effect.

19.4 Waiver

AgentScribe's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

19.5 Assignment and Change of Ownership

You may not assign your rights or obligations under these Terms without AgentScribe's prior written consent. AgentScribe may assign, novate, or transfer these Terms and all associated rights and obligations, in whole or in part, without restriction and without notice, including in connection with a merger, acquisition, financing, reorganisation, or a sale of its business, website, or assets (including a sale conducted through an online business marketplace such as Flippa). On completion of any such transfer, these Terms continue in force between you and the acquiring party, who assumes AgentScribe's rights and obligations, and your subscription and any content commitments continue uninterrupted. Personal information is handled on transfer as described in Section 11 (Privacy) and our Privacy Policy.

19.6 Force Majeure

AgentScribe shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, internet outages, government actions, or third-party service failures.
